1. Club Structure and Tiers
IEC membership is structured in four tiers: Associate, Professional, Executive, and Institutional. Each tier provides a different level of access to platform features as described in the current membership schedule at /membership. Tiers are individually held by the named member; they are not transferable and cannot be shared. Institutional tier licenses may be allocated across named seats up to the contractual seat limit.
2. Application and Admission
Admission to the Club is by application or invitation only. Applicants complete an online application form providing professional background information. Applications are reviewed by the IEC Membership Committee. The Committee may approve, conditionally approve, or decline applications at its sole discretion without being required to give reasons. Following conditional approval, applicants must complete KYC/KYB verification (see Clause 3) before their membership becomes active. Invitation paths (by existing Executive or Institutional member) bypass the initial committee review but are still subject to KYC/KYB completion.
3. Identity Verification (KYC/KYB)
All members must complete identity verification before accessing gated platform features. Individual members (KYC) must submit: a colour scan of a valid government-issued photo ID (passport preferred); a current proof of address dated within 3 months; and optionally a professional reference letter. Organisational members (KYB) must additionally submit: certificate of incorporation or state registration, excerpt from the relevant corporate registry, beneficial ownership declaration (identifying all ultimate beneficial owners holding ≥25% of shares or voting rights), and resolution authorising the representative to bind the entity. Verification is conducted by our in-house compliance team, supported by automated sanction-list screening. The process typically completes within 2 business days. Incomplete submissions may extend the timeline. IEC reserves the right to request additional documentation.
4. Member Obligations and Club Rules
Members agree to: represent themselves honestly and not misrepresent professional credentials; maintain the confidentiality of information shared by other members in the platform, deal rooms and club communications; respect Chatham House Rule in designated forums and roundtables (information may be used but not attributed without express consent of the speaker); not solicit other members commercially outside the designated marketplace channels; report suspected fraudulent activity, sanctions violations or identity misrepresentation to compliance@internationalenergyclub.org; and keep their profile and subscription information current. The spirit of the Club is collegial trust; conduct that undermines that trust may result in suspension.
5. Fees and Renewal
Annual membership fees are payable in advance. The applicable fee for each tier is as set out in the current fee schedule. Fees are subject to annual review; members are notified of changes at least 60 days before their renewal date. Auto-renewal is enabled by default; members may opt out via account settings at least 30 days before renewal. Where a member upgrades from a lower to a higher tier mid-year, a pro-rata upgrade fee applies calculated on the remaining days in the membership year. Downgrade requests take effect at the next annual renewal.
6. Suspension and Termination by IEC
IEC may suspend or terminate membership:
- (a) immediately, without notice, for serious violations of the Terms of Service, AUP, or applicable law
(b) with 5 business days' notice for lesser conduct violations pending investigation
(c) with 14 days' notice if KYC/KYB requirements subsequently cannot be satisfied
(d) with 30 days' notice for business reasons where IEC discontinues a service. Suspended or terminated members may appeal to membership@internationalenergyclub.org within 14 days. Refunds on termination are governed by the Refund Policy.
Document versioning and re-acceptance
This document was last updated on Nov 1, 2025. IEC maintains a versioned archive of all prior versions. Where a material change affects the rights or obligations of existing members, affected members are notified by email at least 14 days before the change takes effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. To request a prior version, contact legal@internationalenergyclub.org.
