Public Offer Agreement (Оферта)

Public offer (оферта) for the subscription and service contract, compliant with Article 437 of the Civil Code of the Russian Federation.

1. Definitions

This Public Offer ('Offer') constitutes a public offer within the meaning of Article 437(2) of the Civil Code of the Russian Federation ('CC RF'). 'Offeror' means International Energy Club LLC. 'Acceptor' means any person who accepts this Offer by completing the account registration or payment process. 'Services' means access to the IEC online platform and all associated features as described in the applicable Membership Plan. 'Acceptance' is deemed to occur upon completion of the subscription payment or, for free-tier registration, upon clicking 'Create Account'.

2. Subject of the Contract

The Offeror undertakes to provide the Acceptor with access to the IEC platform in accordance with the Membership Plan selected by the Acceptor. The Acceptor undertakes to pay the applicable fees as set out in the pricing schedule and to comply with the Terms of Service and this Offer. The contract is concluded for the subscription period specified at checkout and renews automatically unless cancelled in accordance with Clause 5.

3. Price and Payment

The price of the Services is specified in the applicable Membership Plan at the time of acceptance. All prices are stated in US Dollars (USD) unless otherwise indicated. For Russian residents, prices may be displayed and charged in Russian Rubles (RUB) at the exchange rate published by the Central Bank of the Russian Federation on the date of payment. Payment is processed via the integrated payment gateway. Invoices and fiscal receipts are issued electronically in accordance with Federal Law No. 54-FZ on cashless settlements.

4. Rights and Obligations of the Offeror

The Offeror shall: provide access to the platform in accordance with the agreed SLA (not less than 99.5% monthly uptime for Professional tier and above); notify the Acceptor of any material changes to the Services at least 14 days in advance; process personal data in accordance with the Privacy Policy and 152-FZ; maintain the technical and organisational security measures described in the DPA. The Offeror reserves the right to modify, suspend or discontinue features with reasonable notice, and to suspend access immediately in case of suspected breach of the AUP or Terms.

5. Subscription Term and Renewal

The initial subscription term is 12 months from the date of acceptance. The subscription renews automatically for successive 12-month periods unless the Acceptor notifies the Offeror of cancellation at least 30 calendar days before the renewal date via the account settings or by email to billing@internationalenergyclub.org. The Offeror will send a renewal reminder at least 45 days before the renewal date. Renewal fees are charged at the then-current list price unless a fixed-price amendment has been agreed in writing.

6. Consumer Rights and Refunds

For consumers (natural persons not acting in a commercial or professional capacity), a 14-day cooling-off period applies pursuant to Article 26.1 of the RF Law on Consumer Protection and, where applicable, EU Directive 2011/83/EU. After the cooling-off period, refunds are governed by the Refund Policy. Digital content access commencing during the cooling-off period requires explicit consumer consent to early performance and waiver of withdrawal rights in accordance with Art. 25(1)

7. Governing Law

This Offer and any contract formed by its Acceptance are governed by the law of the Russian Federation. Disputes are subject to the jurisdiction of the courts specified in the Terms of Service. The Offer is valid indefinitely unless withdrawn by the Offeror in the manner provided by CC RF Art. 436.

Document versioning and re-acceptance

This document was last updated on Nov 1, 2025. IEC maintains a versioned archive of all prior versions. Where a material change affects the rights or obligations of existing members, affected members are notified by email at least 14 days before the change takes effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. To request a prior version, contact legal@internationalenergyclub.org.
