1. Acceptance
By creating an account, accessing the platform, or using any IEC service, you agree to be bound by these Terms of Service ('Terms'), our Privacy Policy, and any additional terms applicable to specific features (such as the Marketplace Rules, Data Room Policy, or Events Policy). If you are accepting on behalf of an organisation, you represent that you have authority to bind that entity. If you do not agree, you may not use the platform.
2. Eligibility and Account
The platform is available only to natural persons who are at least 18 years old and to duly authorised representatives of legal entities. Membership is by application or invitation only. All accounts are personal and non-transferable. You must provide accurate, complete and up-to-date information during registration and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at security@internationalenergyclub.org of any suspected unauthorised access.
3. Member Verification
All members are required to complete identity verification (KYC for individuals, KYB for organisations) before accessing gated features. Verification involves submission of government-issued identity documents, proof of address, and — for institutional members — corporate registry extracts and beneficial ownership declarations. IEC reserves the right to decline any application or to revoke membership where verification requirements cannot be satisfied or where there are grounds for AML concern. The verification process typically completes within 2 business days.
4. Acceptable Use
You agree to use the platform solely for lawful professional purposes in the energy sector. You must not: transmit spam or unsolicited commercial messages; scrape, crawl or harvest data without written permission; impersonate another person or misrepresent your professional credentials; upload content that is defamatory, fraudulent or in violation of third-party intellectual property rights; circumvent security controls or attempt to gain unauthorised access to other accounts; use the platform to facilitate sanctions violations or dealings with designated entities. Violation of the Acceptable Use Policy may result in immediate suspension or termination.
5. Intellectual Property
IEC and its licensors own all intellectual property rights in the platform, including the software, design, trademarks, and proprietary data. You retain ownership of content you upload but grant IEC a non-exclusive, worldwide, royalty-free licence to host, display and process that content for the purposes of providing the service. You may not reproduce, redistribute, or create derivative works based on IEC's proprietary content without prior written consent.
6. Limitation of Liability
To the fullest extent permitted by applicable law, IEC's aggregate liability for any claim arising out of or relating to these Terms or the platform shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. IEC is not liable for indirect, incidental, consequential or punitive damages, loss of profits, or loss of data. The platform is provided 'as is'; IEC does not warrant that it will be error-free or continuously available. These limitations apply whether the claim is in contract, tort (including negligence), statute or otherwise.
7. Termination
Either party may terminate the agreement on written notice. IEC may terminate immediately if you breach these Terms materially, fail KYC/AML requirements, or engage in prohibited conduct. Upon termination, your access is revoked. Clauses relating to intellectual property, limitation of liability, governing law and dispute resolution survive termination. Refunds on termination are governed by the Refund Policy.
8. Governing Law and Dispute Resolution
These Terms are governed by the law of the Russian Federation. Disputes that cannot be resolved amicably within 30 days of written notice shall be referred to binding arbitration under the London Court of International Arbitration (LCIA) Rules, with proceedings conducted in English in London (for international members) or to the Moscow Arbitration Court (for disputes between Russian persons). Notwithstanding this, either party may seek interim injunctive relief from any court of competent jurisdiction.
9. Modifications
We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms. We maintain a versioned archive of all prior Terms at /legal/terms/history.
Document versioning and re-acceptance
This document was last updated on Nov 1, 2025. IEC maintains a versioned archive of all prior versions. Where a material change affects the rights or obligations of existing members, affected members are notified by email at least 14 days before the change takes effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. To request a prior version, contact legal@internationalenergyclub.org.
